Installer Terms of Service
These Installer Terms of Service (“Installer Terms”) govern participation by installers, contractors, companies, and other service providers (“Installer,” “you,” or “your”) in the FieldHalo Installation Network (“FieldHalo,” “we,” “us,” or “our”).
By submitting an installer application, creating an installer account, maintaining a listing, accepting a customer lead, or otherwise participating in the FieldHalo Installation Network, you agree to these Installer Terms.
1. About FieldHalo Installation Network
FieldHalo operates an independent directory and customer-matching platform designed to help consumers locate businesses and independent professionals who provide satellite-internet equipment installation services.
FieldHalo does not itself perform installation services unless expressly stated otherwise.
FieldHalo is not Starlink or SpaceX and is not affiliated with, sponsored by, or endorsed by Starlink or SpaceX unless expressly stated otherwise.
2. Independent Businesses
Installers participating in FieldHalo are independent businesses or independent service providers.
Nothing in these Installer Terms creates an employer-employee relationship, partnership, joint venture, franchise, agency relationship, or other employment relationship between FieldHalo and an Installer.
FieldHalo does not control the manner or means by which an Installer performs installation work.
Installers determine their own pricing, availability, scheduling, equipment, employees or subcontractors, and whether to accept a particular customer or project.
3. Installer Eligibility and Information
You agree that information submitted to FieldHalo will be accurate and reasonably current. This may include your name, company name, phone number, email address, website, business location, primary service ZIP code, service radius, states served, and services offered.
You are responsible for updating information that becomes inaccurate.
FieldHalo may review, approve, reject, suspend, or remove installer listings in accordance with these Installer Terms.
4. Public Installer Listings
You authorize FieldHalo to publish the business and professional information you provide for purposes of operating and promoting the installer directory.
Public information may include your company name, installer name, business phone number, website, general location, service territory, services offered, company description, and other information you designate for your listing.
FieldHalo may use this information to generate installer profiles, state directory listings, ZIP-code search results, and other directory features.
5. Service Areas and Search Results
Installers may identify geographic areas in which they are willing to provide services.
FieldHalo may use ZIP codes, geographic coordinates, service radius, state selections, customer location, availability, account status, and other relevant information to determine which installers appear in directory searches or receive customer requests.
Selection of an entire state does not guarantee that an Installer will appear for every ZIP code within that state.
FieldHalo does not guarantee any particular ranking, placement, number of appearances, leads, calls, customers, or installation jobs.
6. Customer Requests and Leads
Customers may either contact an Installer directly through directory information or submit a Request an Installer inquiry through FieldHalo.
FieldHalo may route customer requests to one or more potentially suitable Installers.
Receipt of a customer request does not guarantee that the customer will hire the Installer.
Installers are responsible for communicating with customers, providing estimates, scheduling work, determining pricing, collecting payment, and establishing the terms of any installation agreement.
7. Installer Responsibility
Each Installer is solely responsible for installation services it agrees to perform, including workmanship, customer estimates and pricing, scheduling, employees and subcontractors, tools and equipment, property damage caused by the Installer, required permits or approvals, compliance with applicable laws and regulations, taxes and business obligations, insurance or licensing required by applicable law, and any customer warranties or guarantees offered by the Installer.
Installers must perform services lawfully and professionally.
8. Customer Relationship
Any agreement for installation services is between the customer and the Installer.
Unless expressly stated otherwise, FieldHalo is not a party to that agreement.
FieldHalo does not determine the Installer's price and does not guarantee the quality, safety, legality, timeliness, or outcome of an Installer's work.
9. Starlink and Third-Party Trademarks
Installers may truthfully describe services they provide for third-party products, including Starlink equipment, where legally permitted.
Installers may not use FieldHalo listings to falsely claim that they or FieldHalo are authorized, certified, sponsored, approved, or endorsed by Starlink, SpaceX, or another third party.
Installers are responsible for ensuring that logos, photographs, trademarks, descriptions, and other materials they submit are materials they have the right to use.
10. Prohibited Conduct
Installers may not submit materially false or misleading information, impersonate another person or business, falsely claim certifications, licenses, affiliations, or authorizations, use customer information for unrelated marketing or unlawful purposes, harass customers, manipulate FieldHalo search results or reviews, use FieldHalo for fraudulent, deceptive, or unlawful activity, or attempt to interfere with or compromise FieldHalo's website, accounts, or systems.
11. Customer Information
Customer information provided through FieldHalo may be used only for legitimate purposes related to responding to the customer's installation request and as otherwise permitted by applicable law and FieldHalo's policies.
Installers are responsible for protecting customer information they receive.
12. Fees and Paid Services
FieldHalo may offer free and paid installer listings, subscriptions, advertising, enhanced placement, lead services, or other paid features.
Pricing and applicable terms will be disclosed before an Installer purchases a paid service.
FieldHalo may change pricing or introduce new paid services prospectively, subject to applicable law and any specific subscription terms presented at purchase.
13. No Guarantee of Business
FieldHalo does not guarantee a minimum number of leads, minimum number of calls, search ranking, directory traffic, customer conversions, revenue, installation jobs, or exclusive territories.
Participation in FieldHalo does not create an exclusive service territory unless FieldHalo expressly agrees otherwise in writing.
14. Suspension and Removal
FieldHalo may suspend, restrict, or remove an Installer or listing for reasons including materially inaccurate information, customer safety concerns, fraud, misuse of customer information, violation of these Installer Terms, nonpayment of applicable fees, unlawful conduct, or abuse of the platform.
FieldHalo may also discontinue a listing or the installer program as permitted by applicable law.
15. Disputes Between Installers and Customers
Installers are responsible for resolving disputes arising from their installation services directly with their customers.
FieldHalo may receive complaints, investigate platform misuse, or take action regarding an Installer's listing, but FieldHalo is not obligated to mediate installation disputes.
16. Disclaimer
FieldHalo provides its directory, matching, and related platform services on an “as available” basis to the extent permitted by law.
FieldHalo does not guarantee that customer information will be accurate, that customers will purchase services, or that the platform will operate without interruption.
17. Limitation of Liability
To the maximum extent permitted by applicable law, FieldHalo will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from an Installer's participation in the network, customer interactions, installation work, lost business opportunities, or use of the platform.
Nothing in these Installer Terms excludes liability that cannot legally be excluded or limited.
18. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FieldHalo Installation Network and its owners, officers, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable expenses arising from your installation services, your violation of law, your infringement of another party's rights, your misuse of customer information, or your material violation of these Installer Terms.
19. Changes to These Terms
FieldHalo may update these Installer Terms from time to time. When required, we will provide notice of material changes. Continued participation after updated terms become effective constitutes acceptance to the extent permitted by applicable law.
20. Governing Law
These Installer Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where applicable law requires otherwise.
